Payment Services and Stripe Connect Terms
These supplemental terms apply only when a Customer enables payment processing or connects a Stripe account through BiFrostIT.
1. Scope and definitions
These Payment Services and Stripe Connect Terms apply only when a Customer enables payment processing, connects a Stripe account, or uses payment-related functionality through BiFrostIT. They supplement and are incorporated into the BiFrostIT Terms of Service.
“Connected Business” means the legal entity whose Stripe account is connected to BiFrostIT. “Customer Payment” means a payment made by an end customer for goods or services. “Merchant of Record” means the party legally responsible for the sale and related payment obligations.
2. Stripe relationship and acceptance
Stripe and its affiliates provide the underlying payment-processing and connected-account services. A Connected Business has a direct contractual relationship with Stripe under the applicable Stripe Connected Account Agreement, Stripe Services Agreement, and incorporated financial-provider terms.
An individual accepting Stripe’s agreements or these Payment Terms for a Connected Business represents that they have authority to bind that business.
Stripe is an independent service provider. Stripe may modify its services and terms and may approve, reject, restrict, suspend, or terminate a connected account or payment capability according to its agreements, risk requirements, and applicable law.
3. Authorization granted to BiFrostIT
The Connected Business authorizes BiFrostIT to create or connect its Stripe account and, to the extent enabled by the Customer and permitted by Stripe, configure payment capabilities, submit transactions, communicate transaction information, manage payment settings, and initiate authorized refunds, dispute responses, transfers, or related account activity.
The Connected Business authorizes BiFrostIT to access, use, and share Connected Business and transaction information with Stripe as reasonably necessary to provide, secure, support, and administer the payment services.
BiFrostIT will not intentionally conduct connected-account activity outside the authorization granted by the Connected Business, these Payment Terms, or the enabled platform controls.
4. Information, eligibility, and verification
The Connected Business must provide accurate, complete, and current legal name, ownership, representative, address, banking, tax, product, service, and other information requested by BiFrostIT or Stripe.
Payment activation and continued availability may depend on identity, business, bank-account, ownership, tax, sanctions, fraud, and other verification. BiFrostIT does not guarantee that Stripe will approve or continue supporting an account, business, transaction, or payment method.
The Connected Business must not use the payment services for illegal, fraudulent, deceptive, prohibited, or restricted activities and must comply with Stripe’s current prohibited and restricted business rules.
The Connected Business must promptly notify BiFrostIT and update Stripe when its ownership, representative, legal entity, bank account, tax information, business model, fulfillment timing, products, services, or other material information changes.
5. Merchant of Record and customer obligations
For ordinary direct payments accepted by a Connected Business through BiFrostIT, the Connected Business is the Merchant of Record unless the applicable checkout and transaction records clearly identify another party as the Merchant of Record.
The Merchant of Record is responsible for accurately describing and delivering its goods or services; providing complete receipts and meaningful customer support; maintaining and following fair refund, cancellation, return, and exchange policies; and handling complaints, refunds, disputes, and chargebacks.
The Merchant of Record is responsible for determining, collecting, reporting, and remitting applicable taxes and for meeting consumer-protection, licensing, registration, invoicing, and other legal obligations unless a separate written service expressly assumes a specific responsibility.
Each checkout, receipt, confirmation, and statement descriptor must accurately identify the Merchant of Record and must not suggest that BiFrostIT or Stripe is the seller when it is not.
6. Fees and deductions
Applicable Stripe fees, BiFrostIT platform or connection fees, and other payment-related charges will be disclosed through pricing, checkout, activation, account settings, or an applicable order form.
The Connected Business authorizes Stripe and BiFrostIT, as applicable, to deduct disclosed Stripe fees, Platform Fees, refunds, dispute amounts, reversals, taxes, and other authorized amounts from transaction proceeds, account balances, linked bank accounts, reserves, or other permitted payment methods.
Payment-network, processing, currency-conversion, instant-payout, dispute, tax, and other third-party fees may change independently of BiFrostIT subscription pricing. We will provide notice of material BiFrostIT Platform Fee changes as required by the Terms of Service or applicable law.
7. Refunds, disputes, reserves, and negative balances
The Connected Business is responsible for refunds, disputes, chargebacks, reversals, negative balances, fines, and related costs arising from its Customer Payments, except to the extent a separate written agreement expressly allocates a responsibility elsewhere.
Stripe may delay or cancel payouts, reverse transactions, establish reserves, restrict payment activity, or recover amounts according to its agreements and risk requirements. BiFrostIT may reflect or enforce those restrictions within the Services.
Disconnecting or disabling a payment module does not eliminate payment obligations or prevent the processing of previously initiated refunds, disputes, reversals, fees, or legally required adjustments.
8. Payment data and privacy
BiFrostIT and Stripe may exchange personal, business, customer, transaction, payout, refund, dispute, verification, fraud, risk, and compliance information as necessary to provide and secure payment services, meet financial-network requirements, and comply with law.
The Customer and Connected Business must provide all notices and obtain all rights, permissions, and consents necessary for information they submit or direct BiFrostIT or Stripe to collect, use, retain, and disclose.
Payment information is also handled according to the BiFrostIT Privacy Policy and Stripe’s applicable privacy notices and agreements.
9. Security and payment credentials
Customers must protect payment-account credentials, connected-account access, devices, permissions, and administrator roles and must promptly report suspected unauthorized activity.
Customers must not submit full payment-card numbers, security codes, or other sensitive authentication data into ordinary BiFrostIT fields, uploads, messages, or support channels. Payment credentials must be collected through approved payment interfaces.
Each party must comply with applicable payment-card security requirements for the payment data and systems it controls.
10. Availability and support
Payment services depend on Stripe, financial institutions, payment networks, customer banks, verification, and external systems. BiFrostIT does not guarantee approval, uninterrupted processing, settlement timing, payout availability, or acceptance of any payment method.
Customers should contact BiFrostIT for support involving the BiFrostIT payment module or connected-account workflow. Stripe may communicate directly with a Connected Business regarding verification, compliance, risk, account status, or services Stripe provides directly.
11. Multiple companies and enterprise accounts
A separate legal entity that accepts Customer Payments should ordinarily use its own connected account, legal identity, bank account, tax information, customer-facing identity, and statement descriptor unless BiFrostIT and Stripe approve another structure.
Enterprise administration or consolidated BiFrostIT subscription billing does not merge participating legal entities, transfer ownership of their payment accounts, or change the Merchant of Record for their Customer Payments.
The enterprise billing company may pay BiFrostIT software charges for another company without becoming responsible for that company’s sales, refunds, disputes, taxes, or payment account unless a transaction or written agreement expressly provides otherwise.
12. Changes, disconnection, and survival
A Connected Business may request disconnection subject to available controls, Stripe requirements, and unresolved payment obligations. Disconnecting from BiFrostIT does not necessarily close the underlying Stripe account or terminate the Connected Business’s direct agreement with Stripe.
Stripe may amend its agreements. BiFrostIT may provide notice or require renewed acceptance when Stripe notifies us of a change or when platform authorization, fees, responsibilities, or applicable law materially change.
Clauses concerning fees, deductions, refunds, disputes, negative balances, data, liability, and previously initiated transactions survive disconnection or termination to the extent necessary to resolve outstanding matters.
13. Acceptance and records
By selecting an acceptance control, enabling payment services, completing connected-account onboarding, or continuing to use enabled payment services after required notice, the Customer and Connected Business accept these Payment Terms and the applicable Stripe agreements.
BiFrostIT may retain the accepted document versions, date and time, accepting user, connected-account identifier, authority confirmation, and related technical records to document acceptance and administer the payment relationship.
